A Sdn. Bhd. (Sendirian Berhad) is a private limited company registered in Malaysia. It is a separate legal entity from its owners, allowing the company to enter into contracts, own assets and conduct business in its own name.
Both Malaysians and foreigners may set up a Sdn. Bhd. in Malaysia, subject to the requirements applicable to the proposed business and industry.
A Malaysian Sdn. Bhd. must have at least one director who ordinarily resides in Malaysia. Additional directors may also be appointed.
In many businesses, 100% foreign ownership may be possible. However, certain industries, licences or government approvals may have additional local ownership or capital requirements.
A company may generally be incorporated with a small amount of share capital. However, the recommended paid-up capital depends on your business, banking requirements, licences, foreign ownership, employment passes and future business plans.
