Both Malaysians and foreigners may set up a Sdn. Bhd. in Malaysia, subject to the requirements applicable to the proposed business and industry.
A Malaysian Sdn. Bhd. must have at least one director who ordinarily resides in Malaysia. Additional directors may also be appointed.
In many businesses, 100% foreign ownership may be possible. However, certain industries, licences or government approvals may have additional local ownership or capital requirements.
A company may generally be incorporated with a small amount of share capital. However, the recommended paid-up capital depends on your business, banking requirements, licences, foreign ownership, employment passes and future business plans.
We normally advise clients to allow approximately 7 working days for the incorporation process, subject to company name approval and the completion of all required information and documents.
You will normally need to provide identification details of the proposed directors and shareholders, your proposed company names, business activities, contact details and other information required for incorporation.
Yes. A Malaysian Sdn. Bhd. is required to appoint a qualified company secretary within the prescribed period after incorporation. Your company secretary also assists with ongoing statutory and corporate compliance matters.
Yes. Every company must maintain a registered office in Malaysia where statutory records and official company communications may be maintained or received.
Incorporation is only the beginning. Depending on your business, you may need to arrange your bank account, accounting, tax registration, business licences, payroll and other compliance matters. Your company secretary will also assist with ongoing corporate requirements.
Note: Requirements may differ depending on your company structure, shareholders, business activities, licences and regulatory requirements. We recommend discussing your proposed business structure with us before incorporation.
